End User License Agreement and Terms of Service for DealChaser, covering Solo, Self-Hosted, and Managed Cloud versions.
In this agreement, the following terms have the meanings set out below:
DealChaser is licensed, not sold. Subject to your compliance with these terms and timely payment of applicable fees, JKORIA LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use DealChaser for your internal business purposes.
For the Desktop Version, this license permits installation and use on the number of devices or users specified in your purchased tier.
For the Managed Cloud, this license permits access to your dedicated instance via a web browser for the duration of your active subscription.

For Desktop versions, you are responsible for installation, server or NAS configuration, and any setup required for remote access. JKORIA LLC is not responsible for issues arising from your local environment, hardware, network, or operating system.
The DealChaser Managed Cloud service provides a fully managed, dedicated instance of DealChaser Hosted in Cloud using a third-party hosting provider. The following terms apply specifically to Managed Cloud customers:
Dedicated instance: Each customer receives an isolated deployment accessible at a unique subdomain (e.g., dc001.koriaone.com). Data is not shared between customer instances.
Activation: Upon purchase, you will receive a welcome email containing your instance URL and an activation code. You must complete the setup wizard to create your administrator account before accessing the application.
Managed infrastructure: We are responsible for server provisioning, software updates, database maintenance, SSL certificates, and routine backups. The service is hosted on third-party cloud infrastructure on behalf of JKORIA LLC. You are not required to manage any server-side components.
Data ownership: You retain full ownership of all data you enter into your DealChaser instance. JKORIA LLC does not access, sell, or share your business data. See Section 7 for full data handling details.
Desktop versions are sold as a one-time purchase processed through LemonSqueezy. All sales are final. Refunds may be considered at JKORIA LLC's sole discretion within 14 days of purchase if the software cannot be made to function as described despite reasonable support efforts.
Managed Cloud are billed monthly in advance. Payments are processed through LemonSqueezy. By subscribing, you authorise recurring charges to your payment method on the billing cycle date.
Prices are shown in USD and are exclusive of any applicable taxes. You are responsible for any taxes, duties, or levies imposed by your local jurisdiction.
JKORIA LLC reserves the right to change Managed Cloud pricing with at least 30 days' notice. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

Your use of DealChaser is also governed by our Privacy Policy, which is incorporated into these terms by reference.
Desktop versions: All data is stored locally on your own hardware. JKORIA LLC has no access to your data and does not transmit any business data to external servers.
Managed Cloud: Your data is stored in a dedicated database on infrastructure hosted by a third-party cloud service provider on behalf of JKORIA LLC. Details of the hosting location are set out in our Privacy Policy. JKORIA LLC acts as a data processor on your behalf. We implement appropriate technical and organisational security measures to protect your data.
You are responsible for ensuring that your use of DealChaser, and the data you enter, complies with applicable laws including GDPR where relevant. If you are processing personal data of EU residents, you may request a Data Processing Agreement (DPA) from us at support@koriaone.com.
JKORIA LLC will use commercially reasonable efforts to maintain availability of the Managed Cloud service. However, we do not guarantee uninterrupted or error-free service.
Scheduled maintenance will be performed during low-traffic periods where possible. We will endeavour to provide advance notice of planned downtime.
JKORIA LLC is not liable for downtime caused by our cloud infrastructure provider, force majeure events, or circumstances outside our reasonable control.
DealChaser is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
JKORIA LLC does not warrant that DealChaser will meet your specific requirements, that it will be error-free, or that defects will be corrected within any particular timeframe.
To the maximum extent permitted by applicable law, JKORIA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of business, business interruption, or system failure, arising from or in connection with your use of or inability to use DealChaser.
In all cases, the total aggregate liability of JKORIA LLC to you for any claims arising under or related to these terms shall not exceed the total amount paid by you to JKORIA LLC in the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.
By you: You may cancel your Managed Cloud at any time through your LemonSqueezy account. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing period.
By JKORIA LLC: We may suspend or terminate your access immediately if you materially breach these terms, engage in fraudulent activity, or use DealChaser in a manner that harms other customers or our infrastructure.
Grace period: Following cancellation or non-payment, your Managed Cloud instance will remain accessible for a grace period of 7 days. After this period, the instance will be deactivated and your data will be retained for a further 30 days before permanent deletion.
Desktop versions: Your license to use the Desktop version is perpetual for the version purchased, subject to compliance with these terms. Termination for breach results in immediate revocation of the license.
JKORIA LLC reserves the right to update these terms at any time. For material changes, we will notify active Managed Cloud customers by email at least 14 days before the changes take effect. The updated terms will be published at koriaone.com/terms with a revised effective date.
Continued use of DealChaser after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must stop using DealChaser and cancel any active subscription before the effective date.
These terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Finland.
If you are an EU consumer, you may also have rights under the mandatory consumer protection laws of your country of residence, which these terms do not override.
